- "Credits" — prepaid units used to pay for usage of the Services.
- "DPA" — the Data Processing Agreement between the parties, where applicable.
- "Provider" — a third-party large-language-model provider that performs inference on anonymized content.
2. Eligibility and accounts
- You must be at least 18 years old and able to form a binding contract.
- You must provide accurate registration information (including organization name and a valid work email) and keep it current.
- You are responsible for all activity under your account and for maintaining the confidentiality of your credentials, API keys, and gateway keys. Notify us immediately of any unauthorized use.
- We recommend enabling multi-factor authentication. You are responsible for configuring access for your organization's users.
- We may refuse registration, or suspend or terminate accounts, as permitted in these Terms.
3. The Services; changes
- We grant you a limited, non-exclusive, non-transferable, revocable right to use the Services during the term, subject to these Terms.
- We may modify, add, or discontinue features. We will not materially decrease the core functionality of a paid tier during a prepaid period without notice.
- Beta or preview features are provided "as is", may be changed or withdrawn at any time, and are excluded from any service commitment.
4. Plans, Credits, billing, and taxes
- Prepaid Credits. Paid usage is prepaid, pay-as-you-go. Credits are purchased in advance and drawn down as you use the Services. Current pricing is shown at checkout or in your order form.
- No expiry. Credits do not expire while your account remains open.
- Consumption and estimates. Usage is metered based on model consumption plus our applicable margin. Any cost estimate shown in the product is indicative, not a quotation.
- Non-refundable. Except where required by law or expressly stated in an order form, Credits and fees are non-refundable, including for unused Credits on voluntary termination. We may, at our discretion, reverse Credits in cases of demonstrable billing error.
- Enterprise / Custom plans are governed by a separate order form and/or master agreement, which prevails over these Terms to the extent of any conflict.
- Price changes. We may change pricing prospectively with reasonable notice (at least 30 days for recurring commitments); changes do not affect Credits already purchased.
- Taxes. Fees are exclusive of VAT and other applicable taxes, which are your responsibility except for taxes on our net income.
- Chargebacks. Initiating a chargeback without first contacting us to resolve a billing issue is a breach of these Terms and may result in suspension.
5. Acceptable use
You will not, and will not permit anyone to:
- Use the Services in violation of any applicable law, including PDPL and export, sanctions, and anti-money-laundering laws;
- Submit content you lack the rights or lawful basis to submit, or that infringes or misappropriates any third party's rights;
- Use the anonymization or de-anonymization features to defeat another organization's security or access controls, or to re-identify individuals without authorization;
- Probe, scan, or breach the security of the Services; circumvent usage limits, per-organization isolation, rate limits, or authentication; or reverse-engineer the Services except to the extent that restriction is prohibited by law;
- Generate unlawful, harmful, deceptive, or abusive content, including content that facilitates violence, exploitation of minors, or large-scale disinformation;
- Resell, sublicense, or provide the Services to third parties outside your organization except as expressly permitted in writing;
- Interfere with or disrupt the integrity or performance of the Services, or impose an unreasonable or disproportionate load;
- Use the Services to build a competing product by copying the Services, or to train a competing model on the Services' non-public outputs in breach of a Provider's terms.
We may investigate suspected violations and cooperate with legal authorities. You must comply with the acceptable-use terms of any Provider your traffic reaches.
6. Customer Content and intellectual property
- Your content stays yours. As between the parties, you retain all rights in Customer Content. We claim no ownership of your prompts or outputs.
- License to operate. You grant us a limited license to host, process, and transmit Customer Content solely to provide, secure, and support the Services, and as instructed by you. For the anonymization gateway, this includes detecting and tokenizing PII, forwarding anonymized content to Providers, and restoring outputs.
- Our IP. The Services, software, documentation, branding, and all related intellectual property are and remain our (or our licensors') property. No rights are granted except as expressly stated.
- Feedback. If you give us suggestions or feedback, you grant us a perpetual, irrevocable, royalty-free license to use it without restriction.
- AI outputs. Outputs are generated by third-party models from your inputs. They may be inaccurate, may be similar to content generated for others, and are not guaranteed to be unique, non-infringing, or fit for any purpose. You are responsible for reviewing outputs before relying on them.
7. Data protection and anonymization
- Roles. For Customer Content, you are the controller and we are the processor, as described in our Privacy Policy and, for enterprise customers, a DPA. We process Customer Content on your documented instructions.
- Commercially-reasonable-efforts basis. We design the gateway to detect and tokenize PII before forwarding content to Providers and to fail closed where it cannot. However, automated detection is probabilistic and we do not warrant that the Services will detect or mask every item of PII in every language, encoding, or format. You are responsible for the content you submit and for your own compliance obligations. The anonymization capability is a control that supports your compliance; it does not transfer your compliance obligations to us.
- Audit records. The Services maintain audit logs of processing events for your compliance use. You are responsible for configuring retention consistent with your obligations.
- Providers. Anonymized content is processed by third-party Providers under their own terms. We are not responsible for a Provider's independent acts or omissions, but we select Providers with reasonable care.
8. Third-party services
The Services interoperate with third-party services (payment processing, email, model providers, optional MCP integrations you connect). Your use of those services is governed by their terms, and we are not responsible for them. If you connect a third-party integration, you authorize the associated data flows.
9. Confidentiality
Each party may access the other's confidential information. The receiving party will use it only to perform under these Terms, protect it with reasonable care, and not disclose it except to personnel and advisors bound by confidentiality. This does not apply to information that is public through no fault of the receiver, independently developed, or required to be disclosed by law (with notice where lawful).
10. Warranty disclaimer
EXCEPT AS EXPRESSLY STATED IN A SIGNED AGREEMENT, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANONYMIZATION OR AI OUTPUTS WILL BE ACCURATE OR COMPLETE. YOU ASSUME RESPONSIBILITY FOR RESULTS OBTAINED FROM THE SERVICES.
11. Limitation of liability
- TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.
- TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD 100.
- The limitations do not apply to a party's gross negligence, willful misconduct, or fraud, to amounts you owe us for the Services, or to the extent liability cannot be limited under applicable law.
- These limitations reflect the allocation of risk between the parties and survive termination.
12. Indemnification
You will defend, indemnify, and hold harmless LLM Fusion and its affiliates, officers, and personnel from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) Customer Content; (b) your use of the Services in breach of these Terms or applicable law; (c) your violation of a third party's rights, including a Provider's terms; or (d) your compliance or non-compliance with data protection law in respect of content you submit. We will provide prompt notice of the claim and reasonable cooperation, and you will not settle any claim in a way that imposes obligations on us without our consent.
13. Suspension and termination
- By you. You may stop using the Services and close your account at any time.
- By us. We may suspend or terminate access, in whole or in part, if you materially breach these Terms, fail to pay, create risk or legal exposure for us or others, or if required by law or a Provider. Where practical and not prohibited, we will give notice and an opportunity to cure.
- Effect. On termination, your license to use the Services ends. We will make Customer Content available for export for a limited period where feasible, then delete or anonymize it per the Privacy Policy and any DPA, subject to legal retention. Fees and Credits are handled per §4. Sections that by their nature should survive (including 4, 6, 7, 9–12, 15) survive termination.
14. Service availability
We aim to provide a reliable, highly-available service but, unless an enterprise order form includes a written service-level agreement, we do not guarantee any particular uptime. We may perform maintenance and will endeavor to give notice of significant planned downtime. Disruptions attributable to Providers or other third-party infrastructure are outside our reasonable control.
15. Governing law and dispute resolution
- These Terms are governed by the laws of the United Arab Emirates, without regard to conflict-of-laws rules.
- Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, will be finally resolved by arbitration administered by the DIFC-LCIA Arbitration Centre under its Arbitration Rules, which Rules are deemed incorporated by reference into this clause. The seat of arbitration will be the Dubai International Financial Centre (DIFC), the language of the arbitration will be English, and the tribunal will consist of one (1) arbitrator. Judgment on the award may be entered in any court of competent jurisdiction.
- Nothing prevents either party from seeking injunctive or other interim relief to protect its intellectual property or confidential information in any court of competent jurisdiction.
- To the extent permitted by law, disputes will be resolved on an individual basis and not as a class or representative action.
16. General
- Changes. We may update these Terms. Material changes will be notified by email or in-product notice and take effect on the stated effective date. Continued use after that date constitutes acceptance.
- Assignment. You may not assign these Terms without our consent; we may assign to an affiliate or in connection with a merger, acquisition, or sale of assets.
- Entire agreement. These Terms, the Privacy Policy, and any order form/DPA are the entire agreement and supersede prior agreements on the subject.
- Order of precedence. In case of conflict: a signed order form/master agreement, then the DPA (for data-protection matters), then these Terms, then the Privacy Policy.
- Severability. If any provision is unenforceable, the rest remains in effect and the provision is modified to the minimum extent necessary.
- No waiver. Failure to enforce a provision is not a waiver.
- Force majeure. Neither party is liable for delay or failure due to events beyond its reasonable control.
- Notices. Legal notices to us: [email protected] and INS Sales and Solutions FZE LLC, SPC Free Zone, Sharjah, UAE. Notices to you: to your account email.
- Relationship. The parties are independent contractors; nothing creates a partnership, agency, or employment relationship.
